Terms of Service — BidGrip

1. Acceptance of Terms

By downloading, accessing, or using BidGrip (“the App”), you agree to these Terms of Service (“Terms”).

If you do not agree, do not use the App.

2. Description of the Service

BidGrip provides business management and estimation tools for contractors and professionals, including:

Creating, managing, and tracking quotes and invoices
Generating professional PDF documents to send to clients
Managing client profiles and contact information
Maintaining a custom catalog of services, materials, and products
Attaching before and after photos to project documents
Cloud synchronization and backup of business data

Some features are free. Others may require a paid premium subscription.

3. Eligibility

You must be at least 13 years old to use the App. However, as this is a business and financial tool, you represent that you have the legal capacity to enter into binding contracts in your jurisdiction.

4. Onboarding and Personalization

To use the App effectively, users must:

Set up a Business Profile
Provide business details such as business name, currency, tax rates, and contact information.

You are responsible for ensuring that the business information and financial settings (like tax rates) you input are accurate and comply with your local laws.

5. Accounts and Access

A. Anonymous Use

The App may initially be used anonymously without signing in. Data created in this mode is tied to your current device installation.

Signing in with Apple, Google, or email is highly recommended to securely back up your data to the cloud, sync across multiple devices, and access premium subscription-based features.

You are responsible for maintaining the security of your account credentials.

6. Subscriptions and Billing

The App offers a “Free” tier and a premium subscription (e.g., “BidGrip Pro”) that unlocks advanced features and limits.

A. Subscription Plans

Monthly Subscription: Billed once a month.
Annual Subscription: Billed once a year.

B. Payment & Auto-Renewal

Payment: Payment will be charged to your Apple ID (iTunes) or Google Play Account at confirmation of purchase.
Auto-Renewal: Subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period.
Renewal Cost: Your account will be charged for renewal within 24-hours prior to the end of the current period at the cost of the chosen plan.
Management: You can manage your subscriptions and turn off auto-renewal by going to your Account Settings on your device after purchase.
No Refunds: Unused portions of the subscription period are not refundable, except where required by law. Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.

7. User Content

You may submit content such as:

Business logos
Client contact details and private notes
Pricing, catalog items, and invoice data
Project photos (e.g., before and after pictures)

You retain full ownership of your content. You grant us a limited, secure license to store, process, and display it solely to operate the App (such as rendering PDF quotes and backing up your data).

You represent that you have the necessary rights and permissions to upload any client data or photos to the App.

8. Prohibited Uses

You agree not to:

Use the App unlawfully or abusively
Interfere with App operation or server infrastructure
Reverse-engineer, decompile, or copy the App’s source code
Upload malicious or infringing content
Bypass feature limits, paywalls, or subscription checks

9. Intellectual Property

All App content, design, templates, trademarks, and source code belong to BidGrip (by Nicolas S.), excluding your user-generated content and business data.

10. Financial and Legal Disclaimer

It is not a substitute for professional accounting, tax, or legal advice. BidGrip does not guarantee that quotes, invoices, or calculated taxes generated by the App are legally binding or compliant with your specific local tax regulations. You are solely responsible for verifying the accuracy of all financial documents before sending them to clients or tax authorities.

11. Disclaimer of Warranties

The App is provided “as is” without warranties of any kind.

We do not guarantee uninterrupted service, completely error-free calculations, or that your data will never be subject to accidental loss. We strongly recommend maintaining independent records of your critical business data.

12. Limitation of Liability

To the maximum extent permitted by law, BidGrip (by Nicolas S.) shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, loss of data, or business interruptions arising from your use of (or inability to use) the App.

13. Termination

We may suspend or terminate your access to the App if you violate these Terms.

You may stop using the App and delete your account and data at any time via the App’s settings.

14. Governing Law

These Terms are governed by the laws of Mexico, without regard to conflict-of-law principles.

15. Updates to These Terms

We may update these Terms as we add new features or adjust our policies. Continued use of the App after changes are posted constitutes your acceptance of the updated Terms.
